Conecta Subscription Services Agreement

This Agreement governs subscriptions to and use of the Conecta platform and related services.
1. Acceptance of Agreement
This Conecta Subscription Services Agreement ("Agreement") is a legally binding agreement between Financial Frontera LLC d/b/a Hola Conecta ("Conecta," "we," "our," or "us") and the person or entity purchasing or using the services ("Customer," "you," or "your").
This Agreement becomes legally binding when a Customer submits payment for Conecta services, pays an invoice or subscription charge, activates a Conecta account, or uses the Conecta platform. By doing so, the Customer confirms that it has reviewed and accepted this Agreement, the applicable Order Form, and the Privacy Policy. The individual submitting payment or activating the account represents that they have authority to bind the Customer.
No handwritten or electronic signature is required for this Agreement to become binding.
1.1 Order Form
"Order Form" means any invoice, proposal, checkout page, subscription selection, payment link, written or electronic offer, or other record showing the selected plan, pricing, payment schedule, or services. An Order Form may contain Customer-specific terms such as the Customer name, plan, monthly or annual price, initial payment, installment schedule, renewal period, website services, hosting charges, onboarding or implementation services, and special commercial terms.
If this Agreement and an Order Form conflict, the Order Form controls only the Customer-specific commercial terms identified above.
2. Services
Conecta is a technology platform that may offer, depending on the Customer's plan:
- Contact and customer relationship management
- Forms
- Landing pages
- Workflow automation
- Tasks
- Client portals
- Documents
- SMS
- Appointments
- Calendars
- Team collaboration
- Integrations
- Websites
- Other platform features
Features vary by plan, and not every feature is included in every subscription. Features may be improved, modified, replaced, or discontinued as the platform evolves. Conecta does not promise that every requested configuration or workflow will be available.
3. Eligibility and Account Responsibilities
3.1 Age and Authorization
- You must be at least 18 years old to use the service.
- You must have authority to bind your business or organization to this Agreement.
- You are responsible for using the service in accordance with the laws and professional requirements applicable to your business.
3.2 Account Responsibility
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for activities that occur under your account.
- You must provide accurate and complete account information.
- You must notify Conecta promptly of unauthorized use of your account.
4. Subscriptions, Billing, and Renewal
4.1 Subscription Period and Renewal
- The subscription period is determined by the applicable Order Form.
- Monthly plans renew monthly.
- Annual plans renew annually.
- Subscriptions automatically renew for the same period unless the Order Form states otherwise or Conecta agrees otherwise in writing.
4.2 Payment and Installments
- Payment is due according to the applicable Order Form or invoice.
- Conecta may allow annual subscription fees to be paid in installments.
- An installment schedule does not convert an annual subscription into a monthly subscription.
- All committed annual fees remain due according to the agreed payment schedule.
- Stopping use of the platform does not eliminate outstanding committed fees.
- Applicable taxes may be charged separately.
4.3 Overdue Payments
Conecta may suspend service for overdue payments. Suspension does not eliminate payment obligations or committed fees.
4.4 Cancellation and Refunds
Customers may stop using the service or request that renewal be discontinued. Cancellation does not create a refund and does not remove fees already paid, due, or committed under an annual Order Form. Access continues only through the paid period unless the account is suspended or terminated for cause.
All sales are final. All subscription fees, website fees, hosting fees, communication credits, onboarding fees, and other charges are nonrefundable except where required by law. No prorated refunds or credits are provided for unused time, unused features, unused services, or unused communication credits.
4.5 Price Changes
Conecta may change prices for future renewal periods after reasonable notice. Price changes will not affect a current paid period unless the applicable Order Form states otherwise.
5. Acceptable Use Policy
5.1 Permitted Uses
- Use the service for legitimate business, client management, communication, and workflow purposes.
- Comply with all applicable laws and regulations.
- Maintain the confidentiality of client and customer information.
- Use the service in accordance with applicable professional standards.
- Manage social media assets in accordance with the platform rules established by Meta Platforms, Inc.
5.2 Prohibited Uses
You agree not to:
- Use the service for an unlawful purpose or in violation of any law.
- Transmit malicious code, viruses, or other harmful software.
- Attempt to gain unauthorized access to the service or related systems.
- Use the service to spam, harass, or abuse other users.
- Reverse engineer, decompile, or disassemble any part of the service.
- Share account credentials with unauthorized users.
- Automate or simulate user interactions on Facebook assets in violation of Meta Platform Terms or Community Standards.
6. Zoom Platform Usage
When you activate Zoom integration inside Conecta, you grant us permission to access specific Zoom OAuth scopes to create, update, and optionally delete Zoom meetings when users manage appointments inside the platform. We use these permissions solely to deliver the functionality you request.
6.1 Responsibilities
- You represent that you have authority to connect each Zoom account to Conecta.
- You must comply with the Zoom Terms of Service, Zoom Privacy Statement, and referenced policies.
- You are responsible for ensuring Zoom meetings created through Conecta comply with applicable laws and regulations.
6.2 Permitted Actions
- Create, update, and optionally delete Zoom meetings automatically when appointments are scheduled, rescheduled, or canceled through Conecta.
- Store meeting identifiers (meeting ID, join URL, start URL, passcode) to display in booking details and send to clients.
- Assign or restrict workspace users' access to Zoom meeting functionality through Conecta's role-based controls.
6.3 Prohibited Actions
- Resell or transfer Zoom OAuth access tokens to an unauthorized third party.
- Use Conecta to access or store meeting content, recordings, or data beyond meeting identifiers.
- Use Conecta to share Zoom data with third parties.
- Store Zoom OAuth tokens or exported data outside Conecta without equivalent security controls.
- Use Zoom APIs in ways that violate Zoom's terms or API usage policies.
6.4 Data Handling
- For each meeting, Conecta stores only the meeting ID, join URL, start URL, and passcode to display booking details and send them to clients.
- OAuth tokens and meeting metadata are stored securely on Conecta's servers and encrypted at rest.
- Conecta does not access or store meeting content or recordings.
- Conecta does not share Zoom data with third parties.
6.5 Revocation and Data Deletion
- You may revoke Conecta's access through Zoom account settings or by disconnecting the integration in Conecta Settings → Integrations at any time.
- Upon revocation, Conecta will invalidate remaining tokens and delete associated Zoom data according to the Privacy Policy.
- You remain responsible for managing scheduled meetings or queued meeting actions before revocation to prevent unintended actions.
7. Google Platform Usage
When you connect a Google account to Conecta, you authorize Conecta to access specific Google APIs only to provide the features you enable, such as booking availability checks, creating appointments, managing connected Google Business Profile listings, and sending normal one-to-one Inbox email through your connected Gmail or Google Workspace account.
7.1 Scopes We Request

openid- Used as part of Google account authorization. Conecta does not request Google profile information or profile pictures for Gmail Send.
7.2 How Conecta Uses Google Data
- Calendar event access is used to check availability and create and manage appointments you schedule through Conecta.
- Gmail Send access is used only when the connected team member sends a normal one-to-one Inbox email. Email Blasts require a configured sending domain or bulk sender and are not sent through Gmail.
- Conecta does not sell Google user data or use Google user data for advertising.
- Google API data is rendered directly in the application interface and is not included in AI prompts, embeddings, summaries, or automated AI workflows.
7.3 Revoking Access
You can revoke Conecta's access at any time in your Google Account settings. After revocation, Conecta will no longer be able to access Google data for that connection. You can also disconnect Google inside Conecta's settings. Gmail OAuth refresh tokens are stored securely for the connected team member and are removed when the Gmail connection is disconnected, subject to the Privacy Policy's deletion timelines.
Conecta's use of Google information is subject to the Google API Services User Data Policy, including the Limited Use requirements.
8. Customer Data and Privacy
8.1 Data Ownership
Customer retains ownership of its contacts, documents, customer records, business content, uploaded materials, and other data submitted through its account. Conecta does not claim ownership of Customer data.
8.2 Limited Use of Customer Data
Customer grants Conecta a limited right to host, process, transmit, secure, back up, and use Customer data only as needed to provide and support the service, improve service operation, prevent abuse, and comply with law.
8.3 Customer Responsibilities
- Having authority to upload and process the data.
- Data accuracy and lawful use.
- Maintaining required independent records.
- Exporting needed data before account closure.
- Meeting the Customer's own professional and recordkeeping obligations.
8.4 Data Retention
- Data is retained while an account is active.
- Data may be retained for a reasonable period after suspension or termination.
- Certain data may be retained for backups, security, fraud prevention, payment records, dispute resolution, legitimate business records, or legal compliance.
- Retention and deletion practices are described further in the Privacy Policy.
- Conecta may delete account data after the applicable retention period and is not required to preserve Customer data indefinitely.
9. Disclaimers and Professional Responsibility
9.1 Platform Disclaimer
Conecta is a technology platform. Conecta does not provide tax, legal, accounting, financial, or other professional advice.
9.2 Customer Responsibility
- Customers remain responsible for their professional services, decisions, filings, communications, and compliance.
- Customers are responsible for the accuracy and completeness of data entered into the platform.
- Workflows and automations must be reviewed and approved by the Customer before reliance.
9.3 No Results or Availability Guarantee
Conecta does not guarantee revenue, leads, business results, message delivery, uninterrupted availability, or error-free automation. To the maximum extent permitted by law, the service is provided “as is” and “as available.”
10. Limitation of Liability
To the maximum extent permitted by law, Conecta will not be liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-revenue, business-interruption, lost-data, or lost-opportunity damages.
Conecta's aggregate liability for all claims arising from or related to the service or this Agreement is limited to the amount paid by the Customer to Conecta during the 12 months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Conecta and its officers, directors, employees, and agents from claims, damages, losses, or expenses arising from:
- Your use of the service in violation of this Agreement.
- Your violation of applicable laws or regulations.
- Your professional services or advice provided to clients.
- Third-party claims related to your use of the service.
12. Termination and Suspension
12.1 Suspension or Termination by Conecta
Conecta may suspend or terminate access for nonpayment, illegal use, spam, abuse, security risk, unauthorized access, telecommunications violations, material breach, or activity that may harm Conecta, its providers, or other customers.
12.2 Effect of Suspension or Termination
- Access may cease immediately when suspension or termination is required for cause.
- Suspension or termination does not eliminate outstanding payment obligations or committed fees.
- Data handling after suspension or termination is governed by Section 9.4 and the Privacy Policy.
- Provisions that by their nature should survive termination remain in effect.
13. Intellectual Property
Conecta owns its software, platform, reusable templates, components, systems, technology, original content, features, and functionality. These are protected by applicable intellectual property laws. Except for the limited rights expressly granted in this Agreement, no ownership rights are transferred to Customer.
14. Governing Law
This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.
15. Changes to this Agreement
Conecta may modify this Agreement from time to time. Conecta will notify customers of material changes by email or through the service. Continued use of the service after changes become effective constitutes acceptance of the updated Agreement.
16. Unlimited Features and Fair Use
Features advertised as unlimited, including forms, landing pages, contacts, and workflows, are not normally billed on a per-item basis unless the Order Form says otherwise. Unlimited use remains subject to reasonable and fair use, technical limitations, storage and processing capacity, security controls, anti-spam rules, telecommunications-provider restrictions, third-party platform limits, prevention of abuse, and prevention of activity that harms performance for other customers.
Conecta may restrict excessive or abusive use, require changes, or move unusually high-volume use to another plan or a separately priced arrangement. File storage, communication usage, SMS, and WhatsApp are not described as unlimited by this section.
17. Onboarding and Implementation Assistance
Conecta may help Customers or their team members with account onboarding, training, forms, landing pages, workflow configuration, initial setup, and platform configuration. The exact assistance included is determined by the plan or Order Form.
- Customer must provide timely content, access, information, workflow requirements, decisions, and approvals.
- Customer-caused delays may delay implementation.
- Customer is responsible for reviewing and testing workflows, forms, automations, messages, and configurations before relying on them.
- Customer remains responsible for operating its own business.
- Conecta may charge separately for onboarding, setup, configuration, or implementation when stated in the Order Form.
18. Communication Credits
SMS and WhatsApp operate using communication credits. Credits may be purchased separately or included with a plan. Pricing and usage rates may appear in the platform, checkout, invoice, or Order Form.
- A standard text message currently averages approximately $0.02 per credit.
- A message containing an image may use two credits.
- Actual credit use may vary based on message length, media, destination, carrier, provider, channel, and other technical factors.
- Communication-credit pricing and consumption rates may change when provider or telecommunications costs change.
- Unused credits are nonrefundable except where required by law.
19. Email
Ordinary use of the email functionality currently does not have a separate per-email charge. Conecta may apply reasonable sending limits, anti-spam limits, deliverability controls, and abuse controls, and may apply separate pricing for unusually high-volume or premium email services.
20. Customer Communication Responsibility
Customers are responsible for:
- Obtaining legally valid SMS, WhatsApp, email, and marketing consent.
- Ensuring uploaded contacts may lawfully be contacted.
- Honoring STOP, unsubscribe, and other opt-out requests.
- Maintaining suppression and opt-out records.
- Reviewing automated communications.
- Complying with applicable marketing, privacy, anti-spam, and telecommunications laws.
Conecta provides communication technology but does not decide whether a Customer is legally allowed to contact a particular individual.
21. Websites, Domains, and Hosting
- Websites, domains, and hosting may have separate charges listed in the Order Form.
- Customers are responsible for their domain-registration costs and applicable website and hosting charges.
- A domain registered in the Customer's name belongs to that Customer.
- Customers own their original logos, branding, text, images, and business content.
- Conecta owns its software, platform, reusable templates, components, systems, and technology.
- Website availability may depend on continued payment of website, hosting, or subscription fees.
- Conecta may disable a hosted website for nonpayment.
22. Support
Email is the primary and preferred support channel. Customers may use an available Conecta calendar to schedule onboarding, support, or consultation sessions. Support availability may vary. Conecta does not guarantee 24-hour support, a fixed response time, or a specific resolution time.
23. Third-Party Providers
Conecta relies on third-party providers for infrastructure, communications, payments, integrations, hosting, calendars, social media, and other functions. Third-party providers may experience outages, change services, alter limits, or change pricing. Conecta is not responsible for circumstances controlled solely by third-party providers. Use of third-party integrations may also be governed by the third party's own terms.
24. Incorporated Documents and Order of Precedence
The agreement between Conecta and Customer includes:
- The applicable Order Form.
- This Conecta Subscription Services Agreement.
- The Conecta Privacy Policy.
- Any acceptable-use or communications policies presented through the platform.
If these documents conflict, the following order of precedence applies:
- The Order Form controls Customer-specific prices, payment schedules, plans, and selected services.
- This Subscription Services Agreement controls general commercial and subscription terms.
- The Privacy Policy controls descriptions of Conecta's privacy and data practices.
